1. Introduction & Binding Agreement
Welcome to Apex Flow Logistics LLC ("Apex Flow," "we," "us," or "our"). These Terms of Service and Dispatch Agreement ("Agreement") govern the relationship between Apex Flow Logistics LLC, a Georgia Domestic Limited Liability Company (Control #26170769), and participating motor carriers, owner-operators, and fleet owners ("Carrier," "you," or "Driver").
By accessing our web platform, engaging our dispatch services, submitting onboarding paperwork, or authorizing our dispatchers to book loads on your behalf, you acknowledge and agree to abide by these terms.
2. Scope of Dispatch Agency & Limited Power of Attorney (LPOA)
Apex Flow Logistics LLC operates strictly as an independent freight dispatch agency and back-office administrative service provider. We are not a motor carrier, nor do we assume physical custody or possession of cargo.
Upon executing our Carrier Onboarding Agreement, you grant Apex Flow Logistics LLC a Limited Power of Attorney (LPOA) solely authorizing our dispatchers to:
- Contact licensed freight brokers, freight forwarders, and shippers on your behalf.
- Execute Broker-Carrier Agreements and Carrier Profile Packets using your MC/DOT credentials.
- Negotiate top-paying linehaul freight rates and execute Rate Confirmations under your instructions.
- Submit Signed Bills of Lading (BOLs), Proofs of Delivery (PODs), and accessorial receipts to your designated factoring company or direct billing source.
3. The 100% No-Force Dispatch Policy
Apex Flow Logistics maintains a non-negotiable 100% No-Force Dispatch policy. You retain complete and ultimate autonomy over which loads you accept, your preferred transit corridors, your rest schedules, and your home-time.
You are never obligated to haul a load you do not feel comfortable with, whether due to rate considerations, weather hazards, or personal schedule requirements. If you decline a proposed load, your dedicated dispatcher immediately searches for alternative options.
4. Carrier Responsibilities & Legal Compliance
As a participating carrier, you warrant and agree that:
- You hold an active, valid Motor Carrier (MC) or USDOT operating authority in good standing with the FMCSA.
- You maintain active commercial auto liability insurance (minimum $1,000,000 USD) and commercial cargo insurance (minimum $100,000 USD) at all times during service.
- You will promptly provide an updated Certificate of Insurance (COI) listing Apex Flow Logistics LLC as certificate holder upon policy renewal.
- You and your drivers adhere strictly to all Department of Transportation (DOT) safety regulations, Hours of Service (HOS) rules, and road safety laws.
5. Transparent Dispatch Fee Structure
Apex Flow Logistics LLC operates on a transparent, performance-based fee structure:
- Our dispatch compensation is calculated as a flat percentage (typically 5% to 7%) of the gross linehaul rate of each successfully booked and completed load, agreed upon during onboarding.
- Zero Upfront Costs: There are no sign-up fees, no registration charges, and no hidden monthly recurring software fees. We earn only when you haul.
- Accessorials: Compensation for detention, layover, or TONU (Truck Ordered Not Used) secured on your behalf is billed at the same flat agreed percentage.
6. Invoicing & Factoring Settlements
Dispatch fees are invoiced weekly following load delivery. If you utilize a factoring company, we submit signed paperwork directly to your factor so your net settlement arrives within 24 hours. Dispatch invoices are payable upon receipt via ACH, credit card, or factoring deduction.
7. No Long-Term Contracts (Cancel Anytime)
We believe our service quality should earn your partnership on every load. There are no multi-month binding contracts. Either party may terminate the dispatch relationship at any time by providing written notice via email to admin@apexflowlogisticsllc.com, provided that any loads already under active transit are fulfilled and settled in full.
8. Cargo Claims & Limitation of Liability
As a dispatch house, Apex Flow Logistics LLC does not assume cargo liability or freight insurance obligations. All claims for cargo loss, damage, shortage, transit delay, or traffic violations remain the sole responsibility of the motor carrier and its primary insurance underwriters.
9. Governing Law & Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any legal disputes arising out of this Agreement shall be brought exclusively in the state or federal courts located in Fulton County, Georgia.
